KILDARE COMICS TERMS OF USE

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Kildare Comics LLC  (referred to as “Kildare Comics,” “we,” “us,” or “our”), a small indie comic book publishing company based in New York. These Terms govern your access to and use of our website at https://kildarecomics.com/, including any content, functionality, products, and services offered on or through the website (collectively, the “Services”).

1. Acceptance of Terms

By accessing, browsing, or using the Services, or by clicking to accept or agree to these Terms when this option is made available to you, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

2. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

3. Privacy Policy

All information we collect on the Services is subject to our Privacy Policy. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

4. Content and Intellectual Property Rights

A. Ownership of Content: The Services and all of their content, features, and functionality (including but not limited to all comics, original artwork, text, graphics, logos, images, software, and the design and arrangement thereof) are owned by Kildare Comics, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. Limited License: Kildare Comics grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use only, subject to these Terms.

C. Restrictions: You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted by the Services or as described in Section 4.D below. Specifically, you may not:

  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

D. Access and Use of Hosted Content: The comics, videos, digital streams, and other published content (“Hosted Content”) made available through the Services are provided solely for your personal, non-commercial viewing and use directly on the website.

Prohibited Actions: You are expressly prohibited from taking, capturing, reproducing, or distributing the Hosted Content by any means, including:

  • Downloading, copying, or reproducing the content (except for temporary caching as part of standard web browsing).
  • Screenshots, screen captures, or similar still image reproduction.
  • Screen recording, video recording, or any similar recording of digital streams.
  • Circumventing any technological measures implemented to restrict access to or use of the Hosted Content.

Authorized Downloads: The only company materials available for users to download and use are those explicitly provided for promotional purposes. These files are located exclusively in the “Press” segment of the site, and their use is governed by the specific terms and conditions associated with those materials.

5. User Submissions and Conduct

A. User-Generated Content (UGC): The Services may contain interactive features (such as comment sections, forums, and Fan Mail forms) that allow users to post, submit, publish, or transmit content or materials to other users or on the Services (collectively, “User Submissions”).

B. Fan Mail: By submitting a comment through our Fan Mail form, you grant Kildare Comics a perpetual, royalty-free, worldwide license to use, reproduce, modify, and publish the textual content of the comment in connection with the operation of the Services and the promotion of our content. If you explicitly agree via the Fan Mail form, your comment may be used in advertisements and promotional materials.

C. Representations and Warranties for UGC: You represent and warrant that you own or control all rights in and to your User Submissions and have the right to grant the license granted above to Kildare Comics and our affiliates. You understand and acknowledge that you are responsible for any User Submissions you submit or contribute, and you, not Kildare Comics, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

D. Prohibited Uses: You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • To post or transmit any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Kildare Comics or users of the Services.

6. Unsolicited Creative Submissions Policy

Kildare Comics and its employees do not accept or consider unsolicited creative submissions, ideas, or materials, including but not limited to scripts, plots, story concepts, character designs, artwork, or merchandise ideas (collectively, “Unsolicited Submissions”). This policy is designed to avoid misunderstandings or disputes if Kildare Comics’s creative works or products independently developed by our staff happen to appear similar to Unsolicited Submissions provided to us.

A. No Acceptance or Review: By using the Services, you agree that you will not upload, post, or otherwise submit any Unsolicited Submissions to Kildare Comics. If, despite this policy, you send us an Unsolicited Submission, you agree that:

  • The Submission is Non-Confidential: The Unsolicited Submission will be deemed Non-Confidential and Non-Proprietary.
  • No Implied Contract: Kildare Comics shall have no obligations concerning the Unsolicited Submission, contractual or otherwise, and will not be liable for any use or disclosure of the submission.
  • Immediate Deletion: Kildare Comics reserves the right to, and will, immediately delete, destroy, or dispose ofany and all Unsolicited Submissions without review, without any liability to you, and without providing any compensation.

B. Authorized Submissions: The only exceptions to this policy are:

  1. Materials requested by Kildare Comics as part of a specific, organized Promotion (which are governed by Section 7 and the Promotion’s specific rules).
  2. Feedback or communication related purely to customer service, technical issues, or the operation of the Services via our general contact forms.

7. User Disputes

You are solely responsible for your interactions with other users. VIZ Media reserves the right, but has no obligation to monitor communications and any disputes between you and other users.

8. Purchases and E-commerce

If you purchase products (physical or digital) or subscriptions through the Services, you agree to pay all charges incurred by you or any users of your account at the prices in effect when such charges are incurred. You will be responsible for paying any applicable taxes relating to your purchases. All purchases are subject to our separate shipping, return, and refund policies, which are incorporated into these Terms by reference.

9. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, giveaways, or other promotions (collectively, “Promotions”) made available through the Services may be governed by specific rules that are separate from these Terms. If you participate in any Promotion, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules shall govern.

A. Submissions for Promotions: Any content, design, or intellectual property (e.g., character designs, short stories, fan art) you submit as an entry for a Promotion (a “Promotion Submission”) will be governed by the specific rules of that Promotion.

B. Grant of Rights: Unless otherwise specified in the Promotion rules, by making a Promotion Submission, you grant Kildare Comics and its affiliates a perpetual, non-exclusive, irrevocable, royalty-free, worldwide, fully paid-up, and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Promotion Submission in any media, whether now known or hereafter devised, for the purpose of administering the Promotion and for the promotion of Kildare Comics and its products.

C. Eligibility and Liability: You are responsible for ensuring that your Promotion Submission complies with all applicable laws and the specific rules of the Promotion. Kildare Comics reserves the right to disqualify any entry that violates the rules or these Terms. Kildare Comics shall not be liable for any prizes that are lost, delayed, or damaged in transit.

10. Registration and Accounts

If the Services require you to create an account, you agree to provide true, accurate, current, and complete information during the registration process and to update that information promptly to keep it accurate. You are responsible for maintaining the confidentiality of your account username and password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

11. Children’s Use of the Services

The Services are intended for a general audience and are not directed to children under 13 years of age. Users must be 13 years of age or older to register an account or submit personal information via contact forms (including Fan Mail). We strictly adhere to our Children’s Privacy policy as described in our Privacy Policy, including our commitment to immediately delete any personal information from a child under 13 if we become aware of an unauthorized submission.

Pursuant to 476 U.S.C. Section 230(d), as amended, we hereby notify you that parental control protections (such as computer hardware, software or filtering services) are commercially available that may assist you in limiting access to material on websites that is harmful to minors. Parental control protections may not be available in all areas outside of the US and may not be available for mobile applications. Information identifying current providers of such protections is available at the web site of America Links Up (http://www.netparents.org/parentstips/browers.html).

A. Australian Residents (Under 16):

If you are a resident of Australia, we strongly advise against submitting any personal information, Fan Mail, or creating an account if you are under the age of 16.

While Kildare Comics is not classified as an age-restricted social media platform under Australian law, we reserve the right to immediately suspend the account and delete the personal information of any user residing in Australia who is known to be under 16, to align with evolving Australian privacy and safety standards for minors.

12. Third-Party Links

The Services may contain links to third-party websites, resources, or services (e.g., social media pages, payment processors, affiliated content creators). These links are provided solely for your convenience. Kildare Comics has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Services, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

13. Disclaimer of Warranties

YOU AGREE THAT YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER KILDARE COMICS NOR ANY PERSON ASSOCIATED WITH KILDARE COMICS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

14. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL KILDARE COMICS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

15. Indemnification

You agree to defend, indemnify, and hold harmless Kildare Comics, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Submissions, any use of the Services’ content, products, and services other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

16. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in Westchester Couny & New York County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

17. U.S. Export Controls

The Services are controlled, operated, and administered by Kildare Comics from our offices within the State of New York, United States of America. We make no representation that materials or content available on the Services are appropriate or available for use outside the United States. You may not use the Services or export the content or products in violation of U.S. export laws and regulations.

18. Geographical Restrictions

You agree that you will not access the Services from any territory where the Services or the content is illegal, and you are responsible for compliance with all local laws, rules, and regulations regarding your access and use of the Services. Access to the Services may be prohibited to users from certain geographical areas or individuals identified on U.S. government restricted party lists (e.g., those sanctioned by the U.S. Office of Foreign Assets Control or subject to the U.S. Export Administration Regulations). By using the Services, you warrant that you are not located in any such country or on any such list. Kildare Comics reserves the right to limit the availability of the Services and/or the provision of any content, program, product, or other service described thereon to any person, geographic area, or jurisdiction at any time and in our sole discretion.

19. Miscellaneous

  • Waiver and Severability: No waiver by Kildare Comics of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Kildare Comics to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
  • Entire Agreement: The Terms and our Privacy Policy constitute the sole and entire agreement between you and Kildare Comics regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
